General Terms and Conditions of Service and Rental – MeliSound

1. Scope of Application: These general terms and conditions apply to all services, including the rental of sound, lighting, and video equipment, as well as project management, stand construction, and all related works. Any technical or other service provided by MeliSound is also subject to these terms.

2. Precedence of Terms: Any order implies the full and unconditional acceptance of these general terms and conditions, which take precedence over any other conditions or documents of the client.

3. Orders and Cancellation: No service will be processed until a written purchase order or a validated online order has been received. MeliSound reserves the right to refuse any order within 48 hours following receipt of the request. Any order cancelled less than one week before the scheduled date, or not collected, remains payable in full.

4. Contractual Documents: The specific provisions of each transaction are specified in a contract, rental agreement, or signed order, summarizing: these general terms and conditions, the inventory of equipment or details of services, prices, the amount of any deposit, and payment terms.

5. Technical Knowledge: The client acknowledges having full knowledge of the technical specifications of the equipment and services ordered. No claims will be accepted for inadequacy for the intended use.

6. Condition of Equipment and Acceptance: All equipment is deemed to be delivered in perfect working order, regularly maintained and checked. Acceptance tests can be carried out at our premises during pick- up or delivery. No subsequent claim will be accepted.

7. Loading, Unloading, and Assembly: The client is solely responsible for loading, unloading, handling the equipment, and any assembly or disassembly operations on site.

8. Loss, Damage, and Return: Any loss, damage, or anomaly must be reported when the equipment is returned or at the end of the service. Otherwise, MeliSound reserves the right to invoice for any damage detected later.

9. Use and Liability: The client undertakes to use the equipment and installations in accordance with current safety instructions and standards. Any misuse, overload, failure to respect technical constraints, or improper installation engages the client’s liability. The client is responsible for theft, loss, damage, and must compensate MeliSound for repair or replacement costs.

10. Assurances : Le client s’engage à souscrire toutes assurances nécessaires couvrant les risques liés à la location ou à la prestation. 

11. Technical Incident: In the event of a breakdown or malfunction, MeliSound undertakes to repair or replace the equipment as soon as possible, subject to availability, without any further obligation.

12. Payment Terms and Late Penalties:

a. Unless otherwise agreed, a deposit of the total contract amount is required upon order. The balance must be paid no later than the day the service is performed or the equipment is returned.

b. Any late payment will automatically, and without prior notice, incur late interest at the rate of 3% per month on the remaining gross amount due (including VAT).

c. In the event of a delay of more than 30 days, MeliSound reserves the right to suspend its services and deliveries, terminate the contract, and initiate any recovery proceedings. All legal and administrative costs incurred will be borne by the client.

d. If the equipment is not returned within the agreed period, additional rental and late fees will be charged.

13. Suspension and Termination:In the event of non-payment, MeliSound reserves the right to suspend all ongoing services or deliveries and to refuse any new order until all due amounts have been fully settled.

14. Disputes: Any dispute relating to the interpretation or execution of these terms shall, failing an amicable settlement, fall under the exclusive jurisdiction of the Commercial Court of Paris.

15. Data Protection: Personal data collected is processed for the purpose of contract execution, service management, and compliance with legal obligations. In accordance with the French Data Protection Act and the GDPR, the client has the right to access, rectify, oppose, and transfer their personal data.
